Branch Operations Scope
– Limited to contractual work with Egyptian entities (government, public sector, or private companies)
– Construction work requires Egyptian Federation of Construction approval
– Activities must align with the contract made in Egypt
– Branch operates as an Egyptian company except for corporate governance
– May be managed by a foreign manager under parent company control
– Subject to GAFI compliance review

The Registration Requirements
– Mandatory registration with Commercial Registry and GAFI
– Minimum capital requirement: 5,000 EGP transferred from abroad
– Lease agreement minimum duration: 3 years

The Required Documentation

1. Parent company documents:
– Articles of association
– Commercial register
– Decision to open Egyptian branch
– Acknowledgment of no previous Egyptian branches
– Power of attorney for establishment
– Security inquiry form

2. Branch manager documentation:
– Administrative appointment decision
– For foreigners: Security inquiry form and passport copy
– For Egyptians: Valid national ID copy

The Contracts and Agreements
1. Contract with Egyptian entity:
– Government contracts: Must have official seal
– Private entity contracts: Include company’s commercial register
– Must be translated to Arabic

2. Bank documentation:
– Egyptian bank account
– Certificate for 5,000 EGP deposit
– Proof of foreign transfer

The Property Documentation
– Fixed-term lease agreement (minimum 3 years)

Document Authentication Requirements
All foreign documents must be:
– Translated into Arabic
– Certified by foreign country’s Ministry of Foreign Affairs
– Authenticated by Egyptian consulate/embassy abroad
– Attested by Egyptian Ministry of Foreign Affairs
